Legal — draft

Seller Submission Terms

AURA CAPITAL is a marketplace brand operated by Nexus Acquisitions, a sole proprietorship. This document is a draft prepared for this build.

Last updated 21 October 2026 · Version draft-1

Draft — not lawyer-reviewedThis document is a working draft template prepared for this build. It has not been reviewed by a qualified lawyer in any jurisdiction, it does not yet identify the governing jurisdiction or the contracting parties, and it must not be relied upon as a binding agreement. Before any real transaction, a qualified legal professional must complete, adapt, and approve it.

1. Scope

These terms govern a seller's submission of a digital business for preliminary qualification on AURA CAPITAL. They apply from the point you submit an application and continue for as long as your information remains on the platform.

2. Your submission is a declaration, not a verification

Every financial figure you submit — revenue, net profit, asking price, traffic, customer counts — is recorded as self-reported. Submitting a figure does not make it verified, and the platform does not verify it at intake.

You must not describe your listing to a buyer as "verified" unless and until an independent verification step has actually been completed and recorded against your submission.

3. Eligibility screening

A configurable minimum annual net profit threshold of $100,000.00 is applied at intake. Falling below it prevents a standard qualifying listing and triggers the message: "Listing Rejected: Asset metrics fall below Aura Capital's institutional verification baseline."

This is a preliminary eligibility check, not a permanent rejection. Your draft is preserved, you may correct an inaccurate figure, and you may request a discretionary review. A discretionary review request does not guarantee acceptance.

Meeting the threshold produces a preliminary eligibility status. It is not a valuation, not a statement that your business is worth your asking price, and not a commitment to list.

4. Documents you upload

  • You confirm you have the right to share any document you upload.
  • Accepted formats and size limits are displayed in the interface; files outside them are refused.
  • Documents are stored in private object storage with public access disabled and access logged.
  • Do not upload documents containing third-party personal data you are not entitled to disclose.
  • You may request deletion of your documents, subject to any record-keeping obligation that applies.

5. Review workflow

Submissions progress through: Draft, Submitted, Awaiting preliminary review, Additional information requested, Qualified for further review, Rejected, and Withdrawn. You can track status from your dashboard.

Review is carried out by a person. No published service level exists, and no outcome is guaranteed.

6. Publication and confidentiality

Qualified assets may be represented on the marketplace by an anonymous identifier and sector-level metrics. Your trading name, domain, and financial records are withheld from the public view and from buyers who have not been approved.

Withholding is an access control, not anonymisation. Your information is retained in access-controlled storage and could, in principle, be reidentified by a determined party. We do not claim otherwise.

7. Commission

Brokerage commission is set out in the Commission and Transaction Terms and, for a real transaction, in the executed brokerage agreement. Any figure produced by the calculator is an estimate.

8. Accuracy and misrepresentation

Providing materially false financial information may result in immediate rejection, removal of any listing, suspension of your account, and — where the law provides for it — further action. You are responsible for the accuracy of what you submit.

9. Termination and withdrawal

You may withdraw a submission at any time from your dashboard. Withdrawal does not automatically delete records already relied upon, and does not extinguish any obligation that has already accrued.

10. What remains to be specified

To be completed before use: exclusivity terms, the duration of a listing mandate, the fee payable on a transaction introduced through the platform but completed after termination, the parties' identities, and the governing law.
